Welcome to Storefront Africa ("the Platform"). These Terms and Conditions ("Terms") govern your access to and use of the Platform, including any content, functionality, and services offered on or through the Platform. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1. Acceptance of Terms

By using the Platform, you confirm that you are at least 18 years old or the legal age of majority in your jurisdiction, and you have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Platform Services

Storefront Africa provides an online platform that enables users to buy and sell products, connect with vendors, and access e-commerce tools. The Platform acts as an intermediary and does not own, produce, or sell the items listed by users.

3. User Accounts

1. Registration: To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.
3. Termination: We reserve the right to suspend or terminate your account at our sole discretion, without notice, for any violation of these Terms.

4. User Responsibilities

1.Compliance: You agree to use the Platform in compliance with all applicable laws, regulations, and these Terms.

2.Prohibited Activities: You must not:

• Use the Platform for any illegal or unauthorized purpose.
• Post false, misleading, or fraudulent information.
• Infringe on the intellectual property rights of others.
• Engage in any activity that disrupts or interferes with the Platform's functionality.
• Harass, abuse, or harm other users or third parties.

3.Content Ownership: You retain ownership of any content you upload or post on the Platform but grant Storefront Africa a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of operating the Platform.

5. Fees and Payments

1. Transaction Fees: Subject to platform rules and user acceptance, a transaction fee might be applied to all sales. A recurring subscription fee may also be applied to a seller's account as an alternative to transaction fee per sale.
2. Payment Processing: Payments are processed through third-party payment gateways. You agree to comply with their terms and conditions.
3. Taxes: You are responsible for any taxes, duties, or fees associated with your use of the Platform

6. Intellectual Property

1. Platform Ownership: All intellectual property rights in the Platform, including but not limited to trademarks, logos, and software, are owned by Storefront Africa or its licensors.
2. User Content: You grant Storefront Africa a non-exclusive, transferable, sub-licensable, royalty-free license to use any content you upload to the Platform for the purpose of providing and promoting the Platform.

7. Limitation of Liability

1. No Warranty: The Platform is provided "as is" and "as available" without any warranties, express or implied. Storefront Africa does not guarantee the accuracy, completeness, or reliability of any content or services.
2. Exclusion of Liability: To the fullest extent permitted by law, Storefront Africa shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform.
3. Indemnification: You agree to indemnify and hold harmless Storefront Africa, its affiliates, and their respective officers, directors, and employees from any claims, liabilities, or expenses arising out of your use of the Platform or violation of these Terms.

8. Termination

Storefront Africa reserves the right to terminate or suspend your access to the Platform at any time, without notice, for any reason, including but not limited to a breach of these Terms.

9. Dispute Resolution

1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Federal Republic of Nigeria.
2. Arbitration: In the event of a controversy, claim or dispute arising out of or relating to these Terms, the parties shall attempt inn good faith to resolve such controversy, claim or dispute promptly by negotiation between the Parties or their authorized representative. You shall, before exploring any other remedy in law, notify us of the dispute or complaint through our contact details. If parties are unable to resolve the controversy, claim or dispute, the parties shall be referred to mediation by a single mediator at the Lagos Multi-Door Courthouse ("LMDC") under the LMDC Rules and governed by the Lagos Multidoor Courthouse Law.

10. Amendments

Storefront Africa reserves the right to modify or update these Terms at any time. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
